The Company Counsel Network is a legal search and placement firm that specializes in placing highly-skilled transactional attorneys (business, corporate, securities, venture capital, real estate, entertainment, and commercial matters), tempered with business experience – on a part-time on-site basis – with early-stage and emerging small-to-mid-size private and public companies in Los Angeles County, that have not yet employed their own full-time in-house counsel or general counsel. This gives client companies the same kind of experienced in-house counsel or general counsel representation available to larger companies. . .on a part-time basis. Although the Company Counsel Network is not a law firm, it was founded by an attorney who has, for more than thirty years, provided early-stage and emerging small-to-mid-size private and public companies in Los Angeles County and San Diego County with the same kinds of business, corporate, securities, venture capital, real estate and commercial legal services (both in private practice and company-side as in-house and general counsel) as offered by the Company Counsel Network Attorneys. Here's a step-by-step summary of how the Company Counsel Network works with your company: - Assessment and Recommendation. First, the Company Counsel Network assesses your company’s legal requirements and recommends one or more qualified and available senior-level transactional attorneys in Los Angeles County who have – in addition to extensive professional experience in private practice – prior in-house counsel, general counsel and/or management experience with early-stage and emerging small-to-mid-size private and public companies.
- Legal Services Agreement Between Your Company and Company Counsel Network Attorney. Second, your company enters into a legal services agreement a recommeded attorney, who thereby becomes your Company Counsel Network Attorney on an ongoing part-time basis.
- Engagement and Retainer Agreement Between Your Company and Company Counsel Network. Third, your company enters into an engagement and retainer agreement with Company Counsel Network and thereby agrees to deposit, and replenish as necessary, a retainer in an amount equal to the total estimated amount to be paid by the Company for two months of services by the Company counsel Network Attorney. Any unused portion of the deposit retainer is refundable on demand.
- Semi-Monthly Time and Legal Services Summary. Fourth, twice a month, your Company Counsel Network Attorney submits to you for your approval a time and legal services summary with respect to the legal services provided to your company for the preceding two weeks and then forwards the approved time and legal services summary to the Company Counsel Network. When each approved time and legal services summary is received by the Company Counsel Network, it debits the deposit retainer for the agreed charges and pays the Company Counsel Network Attorney.
- Monthly Statement to Your Company. Fifth, once a month your company receives a statement for services for the preceding month and a request to replenish the deposit retainer to the original amount or some other mutually agreed amount which best estimates the amount of services to be provided by your Company Counsel Network Attorney to your company during the ensuing two-month period.
- Changes in Your Company's Services Requirements. Finally, you can call us at any time to decrease or increase the amount of services provided to your Company by your Company Counsel Network Attorney; provided, however, that any such increases are necessarily subject to the attorney's reasonable availability. If the attorney's availability is limited, we will help you secure an additional Company Counsel Network Attorney to meet your additional requirements.
